Business owners can establish a formal Board of Directors made up of family members who help provide insights on the business through quarterly meetings and strategic input. When structured properly, board meetings can be held in desirable locations, turning personal trips into legitimate business expenses.

 

Implementation:

 

  • Establish a Formal Board of Directors

Select trusted family members (spouse, children, parents, etc.) who are involved or can contribute meaningfully to your business. Draft board resolutions through the operating agreement and formally appoint them as directors with defined roles and responsibilities.

 

  • Schedule Quarterly Board Meetings

Hold meetings at least once per quarter. These can be conducted at your home, office, or even
in travel destinations if there’s a clear business agenda. Use the meetings to discuss strategy,
financials, growth, and key decisions.

 

  • Document Everything

Create meeting agendas, keep detailed minutes, and record attendance. Save all supporting
documents to show business intent. This substantiates the legitimacy of the meetings for IRS
purposes.

 

  • Deduct Board-Related Expenses

The business may deduct reasonable travel, lodging, meals, and other meeting-related expenses, provided they meet specific criteria. To qualify, the travel must be primarily for
business purposes, the expenses must be considered ordinary and necessary in the course
of operating the business, and the activities conducted during the trip must be directly tied to
board responsibilities rather than personal or leisure pursuits.
